Welcome to WEBLIC AI. By using our website, platform, and services, you agree to comply with and be bound by the following Terms of Service ("Terms"). Please read these Terms carefully before using our platform. If you do not agree with any part of these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and WEBLIC AI.

1. Acceptance of Terms

By creating an account, accessing, or using our platform, you acknowledge that you have read, understood, and accept these Terms, as well as our Privacy Policy. These Terms apply to all users of our platform, including visitors, registered users, and subscribers. If you are using our platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To use certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update your information as needed. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach. We reserve the right to suspend or terminate accounts that are found to be fraudulent, abusive, or in violation of these Terms.

You may not create multiple accounts for abusive purposes, impersonate another person, or use automated means to create accounts. We reserve the right to verify your identity and request additional information to confirm your eligibility to use our platform.

3. Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You may not:

• Violate any applicable laws or regulations, including export control laws and data protection laws.
• Infringe upon the intellectual property rights of WEBLIC AI or any third party, including copyrights, trademarks, patents, or trade secrets.
• Use our platform to upload, generate, or distribute harmful, abusive, harassing, defamatory, obscene, discriminatory, or otherwise objectionable content. This includes hate speech, threats, and content that promotes violence or illegal activities.
• Attempt to gain unauthorized access to our systems, disrupt service, or interfere with other users' experience. This includes hacking, phishing, denial-of-service attacks, and introducing malware or viruses.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of our platform, except to the extent permitted by applicable law.
• Use automated means (bots, scrapers, spiders, etc.) to access our platform without our explicit permission. This includes using our platform to train other AI models without our written consent.
• Engage in any activity that could damage, disable, overburden, or impair our infrastructure, including spamming, flooding, or excessive API calls beyond reasonable usage limits.
• Circumvent any access controls, content filters, or usage limitations we impose.

4. Intellectual Property

All content, features, and functionality on our platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, algorithms, and user interfaces, are the exclusive property of WEBLIC AI or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. The WEBLIC AI name, logo, and related marks are registered or unregistered trademarks of WEBLIC AI. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our platform for your personal or business purposes, subject to these Terms. This license does not include any right to resell, distribute, or commercially exploit our platform or any portion thereof.

Any content you generate using our AI tools remains your property, but you grant WEBLIC AI a worldwide, royalty-free, non-exclusive license to use, reproduce, store, modify, and distribute such content solely for the purpose of providing and improving our services. We do not claim ownership of your content. You are responsible for ensuring that you have the necessary rights to any content you upload or generate and that such content does not infringe third-party rights.

5. User-Generated Content

You are solely responsible for any content you upload, submit, or generate through our platform. You represent and warrant that you have all necessary rights to such content and that it does not violate any third-party rights, including intellectual property rights, privacy rights, and publicity rights. We reserve the right, but not the obligation, to remove or block any content that we believe violates these Terms or is otherwise inappropriate. We are not responsible for any loss, damage, or liability arising from your content. You retain all ownership rights to your content, but we may use it to provide and improve our services as described above.

6. Subscription and Payments

Some features of our platform are offered on a subscription basis. By purchasing a subscription, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable unless otherwise required by law. We reserve the right to change our pricing at any time, but we will notify you in advance of any changes that affect your subscription. You will have the option to accept the new pricing or cancel your subscription before the changes take effect.

Your subscription will automatically renew at the end of each billing cycle (monthly or annually, as applicable) unless you cancel it before the renewal date. You can manage your subscription and billing settings from your account dashboard. We will send you a reminder prior to renewal. We accept major credit cards and PayPal. All payments are processed securely through our PCI-compliant payment processors.

If your payment method fails or is declined, we may suspend your access to premium features until payment is successfully processed. We may charge late fees for overdue payments as permitted by law.

7. Free Trial and Cancellation

We may offer free trials for certain premium features. Upon the expiry of the trial period, your account will revert to the free tier unless you upgrade to a paid subscription. You may cancel your subscription at any time, but no refunds will be given for the remaining portion of the billing cycle. Upon cancellation, your access to premium features will cease at the end of the current billing period. You may continue to use the free features of our platform after cancellation.

8. Third-Party Integrations

Our platform may integrate with third-party services (e.g., Zapier, Slack, Shopify, Stripe, PayPal). Your use of such integrations is subject to the terms and conditions of those third-party providers. We are not responsible for the availability, accuracy, security, or performance of third-party services. Any data you share with third-party services is governed by their privacy policies. We do not endorse or assume liability for any third-party services.

9. Disclaimer of Warranties

Our platform and services are provided "as is" and "as available," without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, timeliness, or usefulness of any AI-generated content. You rely on our services at your own risk. We do not warrant that the results obtained from our services will meet your expectations or that any errors will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so this limitation may not apply to you.

10. Limitation of Liability

To the maximum extent permitted by law, WEBLIC AI and its affiliates, officers, employees, directors, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our platform, including but not limited to loss of data, loss of revenue, loss of business opportunities, loss of goodwill, or loss of profits. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the twelve months preceding the claim. If you have not paid us any amount, our total liability shall be limited to $100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so this limitation may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless WEBLIC AI and its affiliates, officers, employees, directors, agents, and suppliers from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your use of our platform, your violation of any law or third-party rights, or any content you generate or upload. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in asserting any available defenses.

12. Termination

We reserve the right to suspend or terminate your account and access to our platform at any time for any reason, including without limitation, violation of these Terms, fraud, abuse, or if we are required to do so by law. Upon termination, you must cease all use of our services. We may also remove any content associated with your account. If we terminate your account without cause, we will provide a pro-rata refund for any prepaid fees. In the event of termination for cause, no refund will be provided. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimer of warranties, limitation of liability, and indemnification.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in San Francisco County, California. You consent to the personal jurisdiction of these courts and waive any objection to venue. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

14. Changes to Terms

We may revise these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. We may also notify you via email or through a notification on our platform. Your continued use of our platform after any changes indicates your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our platform.

15. Dispute Resolution

If you have a dispute with WEBLIC AI, we encourage you to contact us first at legal@weblicai.com to seek a resolution. We will make reasonable efforts to resolve any disputes informally. If we cannot resolve the dispute informally, any legal action shall be governed by the laws of the State of California, and you agree to submit to the exclusive jurisdiction of the courts in San Francisco. Both parties agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and any other agreements you explicitly agree to, constitute the entire agreement between you and WEBLIC AI regarding your use of our platform.
• Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
• Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely to any affiliate or successor in interest.
• Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, strikes, governmental actions, or infrastructure failures.
• Notices: We may provide you with notices in various ways, including email, in-app notifications, or by posting on our website. You agree to receive electronic communications from us and accept that such communications satisfy any legal requirement for written notice.
